Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Oluko (the “Service”), operated by Cotek App FZ LLC (“Cotek”, “we”, “us”). By creating an account or using the Service, you agree to these Terms. If you are using Oluko on behalf of an organization, you represent that you are authorized to bind that organization.

1. The Service

Oluko is a training and education platform for creating courses (including with AI assistance), sharing them, running exams and attendance, and issuing certificates. A “Workspace” is an organization account. Each Workspace has an Owner and may have Admins, Trainers, and Students (“Members”).

2. Accounts & eligibility

You must be at least 16 years old and provide accurate information. You are responsible for your account credentials and for all activity under your account. Notify us promptly of any unauthorized use.

3. Workspaces, roles & responsibilities

• A Workspace’s subscription and limits apply to the whole Workspace and are shared by its Members. Admins and Trainers can create and manage content and use AI generation within the Workspace’s plan limits.
• The Owner is responsible for the Workspace, including managing Members, billing, and ensuring Members’ use complies with these Terms.
• Only the Owner may manage billing and change the Workspace’s plan.

4. Plans, billing & trials

• Oluko offers a Free plan and paid plans (Pro and Business). Plan features and limits (including seats, published courses, and AI course generations) are described in the app and may change.
• Paid plans are billed in advance on a monthly or annual basis through Stripe and renew automatically until cancelled. You can cancel anytime via the billing portal; access continues until the end of the current period.
• Except where required by law, fees are non-refundable and we do not provide refunds or credits for partial periods or unused features.
• New Workspaces may receive a time-limited trial. We may change prices with notice for future billing periods. Prices exclude taxes unless stated; you are responsible for applicable taxes.
• If a payment fails, we may retry and, after a grace period, downgrade or suspend the Workspace.

5. AI features

AI-generated content is produced by third-party models and is provided “as is”. It may be inaccurate, incomplete, or unsuitable for your purpose. You are solely responsible for reviewing, editing, and verifying AI-generated content before publishing or relying on it. AI usage is subject to your plan’s limits, and we may apply reasonable measures to prevent abuse.

6. Your content

You (and your organization) retain ownership of the content you create or upload (“Your Content”). You grant Cotek a worldwide, non-exclusive licence to host, store, process, display, and transmit Your Content solely to operate and provide the Service. You represent that you have the necessary rights to Your Content and that it does not infringe others’ rights or violate any law.

7. Acceptable use

You agree not to:

• upload or generate unlawful, infringing, harmful, hateful, or deceptive content;
• attempt to breach security, access data you are not authorized to, or disrupt the Service;
• reverse-engineer, resell, or exceed the plan limits of the Service, or use it to build a competing product;
• misuse AI features to generate spam, disallowed content, or to evade usage limits.

8. Certificates

Certificates issued through Oluko are issued by the organization that created the course and reflect completion of that course. Unless expressly stated, they are not accredited by, and do not represent any qualification granted by, Cotek.

9. Intellectual property

The Service, including its software, design, and trademarks (Oluko and the Oluko logo), is owned by Cotek and protected by law. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service; no other rights are granted.

10. Third-party services

The Service relies on third parties (e.g. Vercel, Neon, Anthropic, Stripe, Resend). Your use may be subject to their terms, and we are not responsible for third-party services.

11. Suspension & termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, fail to pay, or to protect the Service or others. Upon termination, your right to use the Service ends; certain provisions (e.g. ownership, disclaimers, limitation of liability) survive.

12. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that content (including AI-generated content) will be accurate.

13. Limitation of liability

To the maximum extent permitted by law, Cotek will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill. Our total liability for any claim arising out of or relating to the Service will not exceed the greater of the amount you paid us in the 12 months before the claim or USD 100.

14. Indemnification

You agree to indemnify and hold harmless Cotek from claims and expenses arising out of Your Content, your use of the Service, or your breach of these Terms.

15. Governing law

These Terms are governed by the laws of the United Arab Emirates, without regard to conflict-of-laws rules. The courts of the United Arab Emirates will have jurisdiction, unless applicable law requires otherwise.

16. Changes to these Terms

We may update these Terms from time to time. Material changes will be posted here with an updated date. Continued use of the Service after changes take effect constitutes acceptance.
